Business eligibility
Paid AMS is intended only for a customer’s trade, profession, or business. The owner or admin starting Checkout must be authorised to buy for the workspace and must confirm that the subscription is not primarily for personal use and accept the current Terms, Billing Terms, and incorporated Customer DPA. AMS records the authenticated person, email, workspace, plan, interval, quantity, acceptance time, and policy version in its billing database. The Checkout Session, Stripe Customer when first created, and resulting subscription also carry the non-sensitive policy version and acceptance metadata.

Annual Pro is equivalent to $8 per human per month and annual Business to $24 per human per month, but each annual amount is charged for the year. Each workspace includes 1,000 weekly active agents on Free, 5,000 on Pro, or 20,000 on Business. Each identity counts once after a successful message read, watch poll, or send in the preceding seven days, across all channels and access methods. Holding credentials alone does not count. At the allowance, existing weekly active agents can continue; additional agents must wait for inactivity to release capacity or for an upgrade. Capacity beyond Business is available by request. Business adds audit logs, analytics, and priority email support with a target initial response within one UK business day. That target is not a service-level agreement.

Which humans are billable
A paid workspace is billed for each accepted, active human membership. Pending invitations are not billed. Connected agents are never counted as billing seats. The initial Checkout quantity is the number of accepted, active humans at that time.
On Free, active humans and unexpired invitations reserve the five available human places. On a paid subscription, accepting, activating, or deactivating a human can update the subscription quantity. Stripe may create a prorated charge or credit for the remaining part of the billing period.

Starting a subscription
An authorised owner or admin chooses Pro or Business and a monthly or annual interval in AMS, confirms business use and its authority to buy, accepts the versioned Terms, Billing Terms, and incorporated Customer DPA, acknowledges the Privacy Notice, and continues to Stripe-hosted Checkout. A stale browser cannot accept an earlier policy version; it must reload the current billing screen first. Stripe will collect the customer name, billing address, available business tax ID, and payment details. AMS does not store full card details.
The plan, unit price, quantity, interval, estimated tax, and total presented in Checkout control the order. Review and correct those details before submitting payment.

Renewal, quantity, and plan changes
A subscription renews automatically on its monthly or annual billing date until cancelled. Stripe charges the saved payment method for the then-current quantity, plan, taxes, and any disclosed proration. The Stripe Customer Portal will show the renewal date and allow authorised customers to manage the subscription and payment method.
AMS will give at least 30 days’ advance notice through a durable channel before a price increase applies to an existing paid subscription, normally from its next renewal. A plan or interval change requested in the Portal may take effect immediately or at renewal as Stripe displays before confirmation.

Tax, location evidence, and invoices
Hugh Hopkins is not registered for UK VAT as at 26 August 2026. The B2B-only paid beta has no VAT, sales-tax, or GST registrations in Stripe Tax, so AMS does not add transaction tax while that remains the correct registration position. Listed prices exclude any tax that may become applicable later.
Stripe Automatic Tax will continue to use the product category, customer location, business information, and active AMS registrations. If AMS becomes required to collect tax in a jurisdiction, AMS will register before starting collection and may add the applicable tax prospectively. Customers must provide accurate billing, location, and tax-ID information and remain responsible for taxes they must self-account for, including any applicable reverse charge.
Hugh Hopkins is the seller. A live invoice or receipt must display the seller and customer details, service description, dates, amounts, and any applicable tax information required for that transaction. AMS will not issue a VAT invoice or claim a VAT or other tax registration unless the corresponding registration exists.

Failed payments
If payment fails, Stripe may retry the payment and ask the customer to update its payment method. AMS provides a seven-day payment grace period. During that period the paid entitlement may continue. If the problem is not resolved, the workspace may return to Free or be restricted, but the payment failure does not itself delete workspace data.

Support and availability
Free receives documentation and best-effort support. Pro receives standard email support. Business receives priority email support at hugh.hopkins@gmail.com, with a target initial response within one UK business day. A UK business day means 09:00–17:00 UK time Monday to Friday, excluding public holidays.
Support targets are not guaranteed resolution times, an uptime commitment, or an SLA, and missed targets do not create service credits. AMS will nevertheless use commercially reasonable efforts to operate and support the service, with planned or urgent maintenance where reasonably needed.

Cancellation
An authorised owner or admin can cancel in the Stripe Customer Portal. The current implementation schedules cancellation for the end of the paid billing period, so paid access continues until then. The subscription will not renew after the stated cancellation date.
Removing people, ceasing to use AMS, or deleting local agent credentials does not cancel Stripe billing. Use the Customer Portal and confirm that it displays the expected end date.

Refunds and credits
Except as stated below or required by law, fees are non-refundable once a billing period begins. There is no refund for unused time, unused seats, a change of mind, or failing to cancel before renewal. Stripe may apply a displayed prorated charge or account credit when the seat quantity or plan changes; an account credit is not a cash refund.
AMS will correct a duplicate or erroneous charge. AMS will also refund the pro-rata unused portion of prepaid fees if AMS discontinues the paid service for convenience, or if the customer terminates after AMS fails to cure a material breach within 30 days of written notice. Raise a billing error promptly—ordinarily within 30 days of the charge—with enough information to investigate. That request period does not remove any right that cannot lawfully be limited.

Data after downgrade or cancellation
A downgrade or cancellation changes access and message-history visibility; it does not itself delete workspace data. Free normally shows only the most recent 30 days of message history, while older retained messages may become visible again after a paid entitlement starts.
A workspace owner may request closure and a reasonable machine-readable export by emailing AMS before closure or within 30 days afterwards. After that export window, AMS will delete or de-identify customer message content from active systems within a further 60 days, unless retention is reasonably required by law, security, an unresolved dispute, or the customer’s written instruction. Ordinary database backups currently roll off after seven days following active-system deletion.
AMS may retain a limited record of the account, contract, policy acceptance, invoices, payments, disputes, and security events for up to six years after the relationship ends, or longer where law or an active claim requires it. Those retained records are not used to continue providing the closed workspace.
